Chapter 1  General Provisions

 

Article 1  These articles are formulated to standardize the conduct of Wuxi Wudou Helücheng Site Museum (hereinafter referred to as "the Museum"), ensure the achievement of public welfare goals, and are based on the "Interim Regulations on the Administration of Registration of Public Institutions" and its implementing rules, relevant national laws, regulations and other provisions. These articles are the operating rules of the Wuxi Wudou Helücheng Site Museum, and are equally binding on the board of directors, the supervisory board, and all staff of the museum.

Article 2  Name: Wuxi Wudou Helücheng Site Museum

Article 3  Address: No. 2, Lüjiang, Mashan Street, Binhu District, Wuxi.

Article 4  Funding Sources: Fully funded

Article 5  Start-up Capital:250,000 yuan

Article 6  Sponsoring Unit: Wuxi Taihu National Tourism Resort Management Committee

Article 7  Registration Authority: Wuxi Binhu District Public Institution Registration Management Bureau

 

Chapter 2  Objectives and Business Scope

 

Article 8   The Museum is a fully funded public welfare cultural institution. Its purpose is to collect and exhibit cultural relics, protect cultural heritage, and conduct science and education through the main ways of promoting advanced culture, providing public cultural products and meeting social cultural services. It aims to continuously improve the scientific and cultural literacy of the general public.

Article 9   The Museum’s Business Scope includes:

(1) Responsible for the collection, accession, restoration, and preservation of unearthed cultural relics and various specimens from the Helücheng site.

(2) Responsible for organizing exhibitions related to Wu culture and the Helücheng site, conducting historical and cultural knowledge education, and improving the cultural quality of the public.

(3)Conduct academic research in history, archaeology, museology, museum studies, and science education.

(4)Conduct exchanges and cooperation with various museums and related industries and research institutions at home and abroad.

(5) Other businesses stipulated by laws and regulations.

 

Chapter 3  Sponsoring Unit

 

Article 10   Rights of the Sponsoring Unit:

(1) Guide the Museum’sdevelopment;事业发展；

   (2) Approve the articles of association and amendments to the articles of association;

(3) Establish the Museum’s board of directors and approve the list of board members and supervisors’ terms;

(4) Appoint relevant directors and supervisors to the board of directors and the supervisory board;

(5) Appoint and remove the deputy director and heads of middle-level institutions.

(6) Supervise and evaluate various work.

(7) Exercise other rights stipulated by national laws and regulations.

Article 11   Obligations of the Sponsoring Unit

(1) Strengthen supervision of the Museum in accordance with laws and regulations, care for and support the Museum’s operation and management, and promote the healthy development of the Museum’s undertakings;

(2) Guide and promote the establishment and improvement of the corporate governance structure of the Museum and promote the modernization of the Museum’s operation;

(3) Respect and uphold the independent legal person status of the Museum and protect the Museum’s legitimate rights and interests in accordance with the law;

(4) Guide and coordinate the solution of difficulties and problems in the Museum’s reform and development;

(5) Ensure the normal exercise of the decision-making power of the board of directors and the supervisory power of the supervisory board, and ensure that the appointed directors and supervisors meet the conditions for performing their duties.

 

Chapter 4 The Museum’s Rights and Obligations

 

Article 12 Rights of the Museum

(1) Independently carry out business activities in accordance with the law and have the right to collect and use collections to hold activities.

(2) Use and manage the Museum’s legal property in accordance with relevant regulations.

(3) Elect Museum personnel to serve as directors in accordance with relevant procedures and regulations.

(4) Exercise internal personnel management and other administrative responsibilities in accordance with relevant regulations.

(5) Accept donations of legal collections, publications, and materials from units and individuals.

(6) Accept legal property voluntarily donated by units, social organizations, or individuals within the legally defined authority, and complete donation matters in accordance with the law.

(7) Other rights stipulated by laws and regulations.

Article 13 Obligations of the Museum

(1) Carry out activities within the scope of its registered purpose and business in accordance with laws, regulations, and national policies, providing high-quality, efficient, and convenient services to visitors.

(2) Implement museum industry policies, regulations, plans, standards, and specifications.

(3) Report major matters to the sponsoring unit and relevant government departments in accordance with relevant regulations.

(4) Accept supervision and social supervision from the sponsoring unit and relevant government departments in accordance with the law.

(5) Publicly disclose relevant information in accordance with the law.

(6) Other obligations stipulated by laws and regulations.

 

Chapter 5  Management

 

Article 31  The management team of this institution consists ofdevelopment;Director and Deputydevelopment;Director, implementing adevelopment;Director responsibility system.

Article 32  The main responsibilities of the management team are:

(1) Formulating and implementing annual work plans and other daily business management.

(2) Preparing and implementing financial and asset management such as budget.

(3) Staff Management.

(4) Regularly report to the board of directors.

Article 33  This institution's Directorshall be appointed by the relevant department according to the prescribed procedures, and the Deputydevelopment;Director shall be appointed by the sponsoring unit.

Article 34  development;The main responsibilities of the Directorare:

(1) Fully responsible for the institution's business operations.

(2) Manage the institution's daily affairs.

(3) Responsible for the institution's personnel, finance, asset management, etc.

(4) Other responsibilities stipulated by laws, regulations and these Articles of Association.

Article 35  development;Directoras a nominee for the legal representative, shall obtain the qualification and perform the duties of the legal representative in accordance with the law after being approved and registered by the registration and management authority.

 

Chapter 6  Management and Use of Assets

 

Article 36  The legal assets of this institution are protected by law; no unit or individual shall encroach on, embezzle, or misappropriate them.

Article 37  The use of funds of this institution shall conform to the aims and Business Scope of this unit.

Article 38  This institution implements the national unified accounting system for public institutions and accepts supervision from tax, accounting, and auditing authorities in accordance with the law.

Article 39  The financial personnel of this institution shall be equipped and managed in accordance with relevant laws, regulations and accounting systems.

Article 40  The wages, social security, and welfare benefits of the staff of this institution shall be implemented in accordance with relevant national regulations.

Article 41  Beforethe legal representative of the institution leaves office, an economic responsibility audit should be conducted.

 

Chapter 7  Information Disclosure

Article 42  This institution promises to truthfully, completely, and promptly disclose the following information in accordance with national laws, regulations, and the provisions of the administrative authority for the registration of public institutions:

(1) The basic situation of this institution.

(2) The development plan, annual plan, and annual work report of this institution, etc.

(3) Annual business data statistics of this institution.

(4) Other information that the board of directors deems necessary to disclose.

 

Chapter 8  Termination and Disposal of Remaining Assets

 

Article 43  This institution shall be terminated under any of the following circumstances:

(1) Revocation decided by the sponsoring unit.

(2) Dissolution due to merger or division.

(3) The occurrence of other termination events stipulated by laws and regulations.

Article 44  Before applying for registration cancellation, this institution shall, under the guidance of the Resort Area Management Committee, establish a liquidation organization and carry out liquidation work. No activities other than liquidation shall be carried out during the liquidation period.

Article 45  Upon completion of the liquidation work, a liquidation report shall be formed, passed by the board of directors, reviewed and approved by the Resort Area Management Committee, and submitted to the administrative authority for registration of public institutions for application for cancellation of registration.

Article 46  The remaining assets of this institution after termination shall be disposed of in accordance with relevant laws, regulations, and provisions under the supervision of the sponsoring unit and the financial department.

 

Chapter 9  Amendment of Articles of Association

Article 47  The articles of association shall be amended under any of the following circumstances:

(1) Matters stipulated in the articles of association are inconsistent with the provisions of the revised national laws and administrative regulations.

(2) The contents of the articles of association are inconsistent with the actual situation.

(3) Other circumstances in which the board of directors believes that the articles of association should be amended.

Article 48  The amendment to the articles of association passed by the resolution of the board of directors shall be submitted to the registration management agency for filing after being approved by the Resort Area Management Committee. For matters involving the registration of public institution legal persons, an application for change of registration shall be submitted to the registration management agency.

 

Chapter 10  Appendix  Clause

 

Article 49  If the contents of these articles of association conflict with laws, regulations, administrative rules and national policies, the provisions of laws, regulations, administrative rules and national policies shall prevail. For matters involving the registration of public institution legal persons, the content published in the "Legal Person Certificate of Public Institution" approved and issued by the registration management agency shall prevail.

Article 50  The right to interpret these articles of association belongs to the Resort Area Management Committee.

Article 51 This chapter shall come into effect from the date of approval by the Resort Management Committee. This chapter must be filed with the administrative organ for the registration of public institutions for the record.
